Chief Compliance Officer

Carroll Bank & Trust is a full service bank that provides customer service from its website,
mobile app, via telephone, and from 7 full service branches and 1 convenience Drive-thru
branch with offices located in Huntingdon, McKenzie, McLemoresville, Camden, Milan,
Bradford, and Paris, TN. Carroll Bank & Trust also offers investment management services
through its affiliation with Raymond James Financial Services. Carroll Bank & Trust is a locally
owned, privately held community bank committed to excellent customer service and improving
the quality of life in the communities it serves.

Carroll Bank & Trust is seeking a Chief Compliance Officer. This position would primarily be
located in our Huntingdon Office. This exempt position would report directly to our CFO and be
a part of our Bank Senior Management Team.

Purpose of Job
The Chief Compliance Officer would develop and administer all aspects of the Bank’s
Compliance Management Program with an emphasis on constructive cooperation with our
team members and the encouragement of support staff in their designated areas of
responsibility. The Chief Compliance Officer should be knowledgeable of Bank Lending and
Deposit Regulations and be able to oversee all compliance related functions. This role is
responsible for policy development, oversight, procedures, and training. The Chief Compliance
Officer will be responsible for communication and facilitation of the Compliance/Consumer
Affairs Examination Process.

 

Compliance

Chairs the Compliance Committee

– Prepares committee agenda for periodic meetings
– Gathers supporting documentation to disseminate to staff members regarding
compliance issues and upcoming changes
– Reviews committee minutes
– Designs, implements, tests, and certifies the compliance program
– Develops/utilizes a continual training and educational program to train the staff,
management, and directors on issues pertaining to compliance
– Develops and administers an internal audit program to self-audit different aspects of the
compliance functions or engages a third party audit firm to conduct same
– Performs an annual risk-based audit program to identify areas of the bank operations
that need auditing and the frequency with which to perform the audit
– Develops the compliance audit scope in light of risk based audit program and assist with
screening outside independent auditors to identify most qualified entity to perform the
audit

– Oversees and assesses new and existing products and business strategies to ensure
compliance with the appropriate federal and state laws and regulations while balancing
business concerns in the Bank
– Provide periodic reports to the Audit Committee and the Board concerning the bank’s level
of compliance; including corrective action plans to alleviate violations and prevent
reoccurrence
– Responsible for approving all Marketing Materials
– Stays abreast of the changing compliance environment to assure Carroll Bank & Trust is
operating with excellence in the area of Compliance
– Vendor management – will work with Senior Management and Third Party Providers to
assure compliance with laws pertaining to Third Party providers
– Administers the Bank’s Policy Review, update, and management program

BSA Oversight
– Responsible for oversight of the BSA Program and ensuring the program is operating
efficiently and effectively
– Work with the BSA Officer to assure to assure appropriate and required functions of BSA are
completely in a timely manner
– Review of BSA policies and Procedures

Other
– Promote the bank’s products and services whenever possible; participate in bank sponsored
events, networking and volunteer opportunities when available
– Provide service that aligns with the bank’s mission of Excellence in all areas.
– Develop and maintain an effective, high performing staff

Qualifications
– College Degree with an emphasis in Accounting, Finance, or Business
– Minimum of 5 years’ experience in banking operations and or risk, compliance, and audit
– Certified Compliance Professional Designation Preferred
– Ability to analyze and interpret loan documents
– Outstanding leadership and management skills
– Comprehensive Understanding of Bank operations
– Ability to communicate effectively through writing, speaking, and listening
– Excellent researching skills related to compliance
– Maintain education and professional expertise in banking regulations though participation
in industry seminars, conferences, and workshops
– Maintain a professional image with public interaction
– Ability to assess and recommend positive improvements for Carroll Bank & Trust
